This Agreement outlines the relationship between CkAds Network ("CkAds") and you (the "Client" or "User"). By accessing our services, you agree to abide by these terms.
CkAds provides performance marketing services, connecting advertisers with publishers to generate qualified actions ("Services"). We facilitate the exchange of advertising inventory and tracking of conversions through our proprietary platform.
Qualified Actions are actions defined in the applicable Insertion Order (IO) or campaign terms (e.g., sales, leads, installs). CkAds is only obligated to pay for actions that meet the strict criteria defined in the specific offer terms and are successfully tracked and validated by our system.
CkAds will verify each Qualified Action delivered. Upon receipt, all actions will be screened for validity (data integrity, uniqueness, compliance with targeting rules). CkAds reserves the right to charge back or withhold payment for any actions determined to be fraudulent, invalid, or non-compliant.
Editing of CkAds provided creatives is strictly prohibited without prior written approval. Any unauthorized modification to text, graphics, or tracking links may result in immediate termination and forfeiture of payments.
You agree to comply with all applicable laws and regulations, including but not limited to the CAN-SPAM Act, TCPA, GDPR, and CCPA. You are solely responsible for ensuring your marketing practices do not violate any third-party rights or laws.
CkAds actively monitors for fraudulent activity. Fraud includes but is not limited to: creating fake leads, using bots/scripts, spoofing IP addresses, or incentivizing traffic without permission. If fraud is detected, your account will be suspended, and all earnings will be forfeited.
Payments are made according to the terms specified in the Insertion Order (e.g., Net-30, Net-15). CkAds reserves the right to withhold payment if the amount due is less than the minimum threshold ($50) or if there is suspected fraud.
Each party represents and warrants that it has the full right, power, and authority to enter into this Agreement and perform its obligations hereunder. You warrant that your content and activities will not infringe upon the rights of any third party.
You agree to indemnify, defend, and hold harmless CkAds, its officers, directors, and employees from any claims, liabilities, damages, or expenses arising out of your breach of this Agreement, your negligence, or your violation of any law or third-party right.
Under no circumstances shall CkAds be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the services, even if advised of the possibility of such damages. Our total liability shall not exceed the total fees paid or payable to you in the three months preceding the claim.
You agree to keep confidential all non-public information disclosed by CkAds, including but not limited to platform data, commission rates, and business strategies. This obligation survives the termination of this Agreement.
You agree not to circumvent CkAds by soliciting or doing business directly with any advertiser or publisher introduced to you through our network for the duration of this Agreement and for 12 months thereafter.
This Agreement constitutes the entire agreement between the parties. It shall be governed by the laws of the State of Wyoming. Any dispute shall be resolved in the courts located in Sheridan, Wyoming.
